Terms of Service
The parties
These Terms are a binding agreement between you and Yes No Capital LLC ("we", "us"), a Minnesota limited liability company at 202 N Cedar Ave, Ste 1, Owatonna, MN 55060, which operates Full Digital Twin at fulldigitaltwin.com (the "Service"). By creating an account or using the Service you accept these Terms and our Privacy Policy. If you do not accept them, do not use the Service.
What the Service is
Full Digital Twin is a local-first data and intelligence platform that builds a digital representation of an asset, person or system from the sensors, documents, conversations and telemetry you choose to connect. Raw data is processed on your device, and only anonymized or derived outputs are synchronized to our cloud. The architecture is the subject of U.S. Patent Application No. 64/005,517, filed March 13, 2026, held by Yes No Capital LLC. Today Full Digital Twin is offered by invitation and nothing is charged. When paid plans open, the billing terms below apply and the checkout shows the price before you pay. Enterprise deployments run under a separate written agreement, which controls where it differs from these Terms.
Yes No Capital LLC is not an engineering firm, law firm, medical practice, financial advisor or regulatory compliance consultant. We publish software, and every judgment call made with it is yours.
Local-first data processing
Raw data (source documents, raw sensor streams, conversations, images, recordings and personally identifying content) is processed on your device or, for enterprise deployments, on infrastructure you control. Only derived, anonymized or summarized outputs reach our cloud. What moves where is set out in the Privacy Policy.
Your responsibility
By using Full Digital Twin you acknowledge that:
- You are responsible for the accuracy, completeness and legal sufficiency of the data you connect
- You are responsible for what you do with any analysis or output the platform produces
- You will consult qualified professionals (engineers, physicians, attorneys, accountants, financial advisors) before any decision that calls for professional advice
- You will follow the laws that govern the data you connect, including health, privacy and biometric laws where they apply
- You will not collect, process or analyze data about other people without their informed consent where the law requires it
- Full Digital Twin is a tool, not a substitute for professional advice, medical diagnosis, engineering judgment or legal opinion
Enterprise agreements
Enterprise deployments are governed by a separate Master Services Agreement or Enterprise Subscription Agreement, which may cover service levels, dedicated infrastructure, Business Associate Agreements, data processing agreements, retention, audit rights and a different liability cap. Where that agreement and these Terms conflict, the enterprise agreement controls for that customer.
Your account
You must be at least eighteen. One account per person. Keep your email address current, because it is how we reach you about your account and about changes to these Terms. You are responsible for what happens under your account and for keeping your sign-in method secure.
Subscriptions, billing and price changes
Yes No Capital LLC is the merchant of record for every Full Digital Twin transaction. Before you buy, the checkout shows you, next to the button that commits you, the price, that the plan renews automatically at the end of each billing period until you cancel, the length of each period, that there is no minimum purchase, and how to cancel. We never charge you before you have agreed to the plan. Prices are set in US dollars whatever method you pay with.
After you subscribe we email you a confirmation you can keep: the plan, the price, the length of each period, how to cancel, and, if the plan starts with a free trial, the day the trial ends and how to cancel before the first charge. If a plan starts with a free trial we also email you a reminder before the trial ends and before anything is charged, whatever the length of the trial.
When paid plans open, you can cancel at any time from your account page with one button that asks only for what is needed to process the cancellation. The cancellation takes effect at the end of the current period and you keep access until then. When you cancel we do not delay it and we do not push offers at you; we may ask once why you are leaving, and you do not have to answer. If you cannot find the button, email us and the cancellation counts from the day your email arrives. Refunds follow our Refund Policy.
We may change prices. A price change never applies to a period you have already paid for. We email you at least thirty days before a new price takes effect at your next renewal. The message you can keep states your current price, the new price, the date it starts, why we are changing it, and how to cancel before then at no cost. A change to these billing terms that we did not announce this way does not bind you.
If a plan ever runs as a continuous service with no fixed renewal period, we email you at least once a year with its terms and how to cancel or manage it.
Taxes are added where the law requires. If a payment fails we retry and tell you, and we may suspend access until it is settled.
How we communicate
We send account, billing, security and policy email to the address on your account for as long as you hold one. Marketing email and text messages are sent only if you opt in, under the terms in the Privacy Policy, and you can opt out at any time. Notices under these Terms are given by email to your account address and are effective when sent.
Acceptable use
Use the Service for its intended purpose and within the law. Do not share your access with others, scrape or bulk-download content, reverse engineer the Service, interfere with its operation, or use it to harm anyone. We may suspend or terminate accounts that break this section.
Content and intellectual property
The Service, its software, designs, data and content belong to Yes No Capital LLC or its licensors. Your subscription gives you a personal, non-transferable right to use them while your account is in good standing, and nothing more. Anything you submit stays yours; you give us the right to store, process and display it as needed to run the Service for you.
The local-first architecture, twin construction methods, anonymization protocols, documentation and visual design are proprietary to Yes No Capital LLC and are the subject of U.S. Patent Application No. 64/005,517. You may not republish the source code, reverse engineer the architecture, resell or white-label access without a written agreement, use platform output to train a competing product, or test its security without permission.
Changes to the Service
We improve the Service continuously and we may add, change or retire features. If we remove a feature that was a material part of a plan you paid for, we tell you at least thirty days in advance and you may cancel for a pro-rata refund of the unused prepaid period. We may also discontinue the Service entirely, with at least sixty days notice and a refund of any unused prepaid period.
Changes to these Terms
These Terms carry a version number and an effective date at the top. A change is material if it reduces what you can do or what we owe you, raises what you pay, adds a new way we use your personal information, adds a new way we contact you, or changes how disputes are decided. Adding a feature, fixing an error, rewording for clarity, updating a name or address, adding or swapping a service provider in a category our Privacy Policy already lists, and changes that are better for you are not material.
For a material change we email every account holder at least thirty days before the new version takes effect, in a message you can keep that says what changed and how to cancel. For a change to the limitation of liability, to how disputes are decided, or to how we use your personal information, we ask you to accept the new version with one click, and we record the version, the time and the words you were shown. Until you do, the version you accepted before stays in force for you. For every other material change, continued use after the effective date means you accept it. If you do not accept it, cancel before the effective date and we refund any unused prepaid period. We record which version you accepted and when.
If the law or a court requires a change sooner, or an urgent security problem leaves no time, we make only that change, tell you by email on the day it takes effect, and say why. If a change is better for you, it can take effect when posted. Non-material changes, such as clarifications, take effect when posted here with a new version number.
A new version applies from its effective date forward. It does not change what you paid for before that date, and it does not apply to a claim or dispute that either of us began before that date.
Termination
You may close your account at any time. We may suspend or terminate your account for breach of these Terms, for non-payment, or where the law requires, and we will tell you why unless the law prevents it. Sections that by their nature should survive, including payment obligations, intellectual property, disclaimers, limitation of liability and governing law, survive termination.
Disclaimers
The Service is provided as is and as available. To the fullest extent the law allows, we disclaim all warranties, express or implied, including fitness for a particular purpose, accuracy and non-infringement. We do not promise the Service will be uninterrupted or error-free.
Limitation of liability
To the maximum extent permitted by law, Yes No Capital LLC's total aggregate liability arising out of or relating to the Service or these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or data, even if advised of the possibility. That includes medical, engineering, financial, legal, regulatory or operational decisions made from platform output. An enterprise agreement may set a different cap, and where it does that cap controls. Some jurisdictions do not allow some of these limits, and in those places the limits apply to the extent allowed.
Indemnity
You will defend and hold Yes No Capital LLC harmless from claims arising out of your breach of these Terms or your misuse of the Service.
Governing law and disputes
These Terms are governed by the laws of the State of Minnesota, without regard to conflict of law rules. Any dispute arising out of or relating to these Terms or the Service is brought exclusively in the state or federal courts located in Minnesota, and both parties consent to their jurisdiction. There is no arbitration clause and nothing here waives your right to join a class action.
Assignment
You may not assign these Terms. We may assign them to an affiliate or to a successor in a merger, acquisition or sale of all or substantially all of our assets, and the successor takes over our obligations to you under these Terms and the Privacy Policy.
General
These Terms, the Privacy Policy and the Refund Policy are the entire agreement between us about the Service. If a part is found unenforceable the rest stands. A failure to enforce a right is not a waiver of it. Headings are for reading only.
